These Terms of Service (“Terms”) govern your access to and use of www.icgi.com (the “Site”),which is operated by ICG (“ICG,” “we,” “us,” or “our”). By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.
1) Purpose of the Site
The Site is a marketing and informational resource. It may include information about ICG’s services, cybersecurity concepts, compliance topics, blog posts, guides, downloadable resources, webinars, and ways to contact us.
2) No Professional Advice
Information on the Site is provided for general informational purposes only and does not constitute legal, regulatory, financial, or professional advice. Cybersecurity, compliance, and IT needs are highly fact-specific and can change quickly. You should consult qualified professionals before acting on any information from the Site, including ICG through a separate written services agreement or statement of work, as appropriate. ICG does not guarantee that content on the Site will be complete, current, or error-free.
3) Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Site.
4) Acceptable Use
You agree not to:
• Use the Site for unlawful, harmful, fraudulent, or abusive purposes• Attempt to gain unauthorized access to the Site or related systems
• Interfere with the Site’s operation or security (including probing, scanning, or testing vulnerabilities without authorization)
• Use any automated means (bots, scrapers) to access the Site in a way that burdens or disrupts it
• Upload or transmit malware, malicious code, or harmful content
• Misrepresent your identity or submit false information through Site forms
5) Intellectual Property
The Site and its content (including text, graphics, logos, designs, videos, and downloadable materials) are owned by ICG or its licensors and are protected by intellectual property laws. You may view, download, and print content for your internal business use only. You may not copy, reproduce, modify, distribute, publicly display, or create derivative works from the Site content without ICG’s prior written permission.
6) Downloads and Resources
Any templates, checklists, guides, or other downloadable resources are provided “as is” for informational purposes. You are responsible for evaluating and tailoring any resource to your organization’s needs.
7) Third-Party Links
The Site may include links to third-party websites or resources. ICG does not control and is not responsible for third-party content, policies, or practices. Accessing third-party sites is at your own risk.
8) Communications and Marketing
If you submit information through the Site (e.g., contact forms, consultation requests, webinar registrations, newsletter signups), you consent to ICG using that information to:• respond to your request,
• communicate about services,
• send educational content or marketing communications. You can opt out of marketing emails at any time via the unsubscribe link in our emails or by contacting us. You may still receive transactional or administrative communications as needed(e.g., confirming a request or registration).
9) Privacy
Your use of the Site is also governed by our Privacy Policy.
10) Disclaimers
THE SITE AND ALL CONTENT ARE PROVIDED ON AN “AS IS” AND “ASAVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ICGDISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIEDWARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE,AND NON-INFRINGEMENT.ICG DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, ORERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.
11) Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ICG WILL NOT BE LIABLE FORANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVEDAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESSOPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TOUSE) THE SITE, EVEN IF ICG HAS BEEN ADVISED OF THE POSSIBILITY OF SUCHDAMAGES.IN NO EVENT WILL ICG’S TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THESITE EXCEED ONE HUNDRED U.S. DOLLARS (US $100).
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
12) Indemnification
You agree to indemnify and hold harmless ICG and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your use of the Site, your violation of these Terms, or your infringement of any rights of a third party.
13) Changes to the Site and Terms
We may modify or discontinue the Site (in whole or part) at any time without notice. We mayalso update these Terms from time to time. The “Last Updated” date indicates when changeswere made. Your continued use of the Site after changes means you accept the updated Terms.
14) Governing Law
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules.
15) Venue and Jurisdiction
You agree that any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Miami-Dade County, Florida, and you consent to their jurisdiction and venue.
16) Injunctive Relief
Nothing in these Terms prevents ICG from seeking injunctive or equitable relief to protect its intellectual property or to prevent unauthorized access to the Site.
17) Severability
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
